Agreement and operator
These terms are between you and Lichen, Inc. By using licheninc.com or purchasing or registering for a Lichen event, you agree to these terms and any additional terms clearly presented for the applicable event or transaction. If you do not agree, do not use the applicable service.
Website information and advisory relationship
The website provides general information about Lichen, its events, and its services. Visiting the site, contacting us, or registering for an event does not make you a Lichen client. A client relationship begins only when you and Lichen sign a separate written agreement.
Advisory boundaries
Lichen does not provide legal, tax, accounting, engineering, or public-finance services. Information on this website should not be used as a substitute for those professional services.
Events, tickets, and Ticket Tailor
Lichen is the seller and event organizer for its listed events. Ticket Tailor provides the ticketing software and processes attendee information for Lichen. Event descriptions, dates, venues, accessibility information, prices, refund rules, transfer rules, and attendee instructions shown at checkout form part of the transaction terms. You are responsible for accurate order information and for complying with reasonable venue, safety, and conduct rules.
If an event is canceled, postponed, moved, or significantly changed, Lichen will provide the notice and remedy stated on the event page or required by law. The refund and transfer policy shown before checkout applies to that event. These terms do not take away rights that the law gives you.
Text and email communications
Operational ticket and event emails may be sent as necessary to complete a registration or transaction. Marketing email choices must be separate where required. Text messages require a separate affirmative opt-in and are governed by the SMS Terms and SMS Consent page. Purchasing a ticket or accepting these terms is not consent to receive marketing text messages.
Acceptable use
You may not misuse the site or ticketing process; interfere with security or operation; impersonate another person; submit information you are not authorized to provide; scrape or access systems by unauthorized automated means; infringe intellectual-property or privacy rights; or use Lichen services for unlawful, fraudulent, abusive, or harmful activity.
Source materials
You are responsible for ensuring you are authorized to share materials with Lichen. Do not submit restricted, privileged, confidential, export-controlled, or nonpublic source-selection information without an appropriate engagement, lawful basis, and required safeguards.
Intellectual property
The site and its original text, graphics, branding, and software are owned by Lichen or its licensors and are protected by applicable law. You may use public site content for ordinary personal or internal business evaluation, but may not reproduce, sell, remove notices from, or create misleading derivative uses of it without permission.
No guaranteed outcomes
Public awards, funding decisions, procurement outcomes, partnerships, business results, and event outcomes depend on factors outside Lichen’s control. Lichen does not guarantee an award, selection, funding decision, revenue result, uninterrupted website availability, or error-free third-party service.
Disclaimers and limits
The public website is provided as available and may sometimes contain errors or be unavailable. To the extent the law allows, Lichen is not responsible for indirect losses caused solely by use of the public website. This does not limit responsibility that the law does not allow us to exclude, and it does not replace a signed client agreement or an event-specific remedy.
Third-party services
The site may link to or rely on services operated by others, including Ticket Tailor, payment providers, scheduling tools, and communications providers. Their own terms may also apply to their services. Lichen is responsible for its own promises and obligations but does not control an independent provider’s systems.
Privacy
Lichen handles personal information as described in the Privacy Notice.
Governing law and changes
Florida law governs these terms, without overriding any mandatory consumer protection that applies to you. Lichen may update these terms prospectively. Material changes will be identified by the effective date and additional notice will be provided where required.
